AVELife Software License Terms End User License Agreement for AVELife TestGold Studio 5 PLEASE READ THIS LICENSE AGREEMENT CAREFULLY BEFORE INSTALLING AND USING THIS SOFTWARE. This End User License Agreement (the "Agreement") is a legal agreement between you (either an individual or a single entity) ("You") and AVELife, Inc. ("AVELife") for the software product AVELife TestGold Studio 5, which includes computer software, electronic documentation and other accompanying materials (the "Software"). By installing or using the Software, you indicate acceptance of this Agreement and agree to be bound by the terms of this Agreement. If you do not agree to all the terms of this Agreement, do not install or use the Software. 1. COPYRIGHT, OWNERSHIP AND INTELLECTUAL PROPERTY RIGHTS The Software (including but not limited the structure, organization, object code, source code, test format, database structure, documentation) is the intellectual property of and is exclusively owned by AVELife and is protected by international copyright laws and treaty provisions, as well as other intellectual property laws and treaties. The Software is licensed to you, not sold. All title, ownership and intellectual property rights in and to the Software shall remain exclusively owned by AVELife. All title and intellectual property rights in and to the content which may be accessed through or created with use of the Software is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties, this agreement grants you no special rights to use such content. All rights not expressly granted are reserved by AVELife. 2. GRANT OF LICENSE Subject to your compliance with all the terms and conditions of this Agreement, AVELife hereby grants you a limited, non-exclusive and non-transferable license to install and use the Software on your computer according to the license type described below. This agreement grants you no special additional rights. 2.1. Trial License. You may install and use the evaluation version of the Software on 1 (one) computer for thirty (30) days from the date the Software is installed ("Trial Period") free of charge without registration for non-commercial evaluation purposes only. Evaluation version of the Software may contain limited functionality and other limitations, it may be freely distributed in original install package without modifications. On the expiration of the Trial Period the Software will terminate operation and the license hereunder shall be terminated, you must immediately remove the Software from all your computers or pay the applicable license fees and continue to use the Software. 2.2. Commercial License. If you comply with all license terms you have the following rights and obligations for each purchased license. You may install and use the Software on 1 (one) computer or up to the number of computers directly specified in license option for one (1) year or other term directly specified in license option from the date the license is purchased ("Subscription Period"). You must pay all applicable license fees in full. You may evaluate the Software during the Trial Period before purchasing license. All license fees are final and non-refundable. If an upgrade license option is available, you must first be licensed for the software product that is identified for the upgrade and you must discontinue using the original software product you upgraded from and remove it from all your computers during five (5) days from the date the Software is installed. There are technological measures within the Software that are designed to prevent unlicensed use of the Software and you need to activate the Software in order to assign the license to the specified computer. To activate the Software, you are required to provide AVELife with the machine code of the computer (displayed in the About dialog of the Software) and apply received license key. You are responsible for selecting of compatible computer, installation and activation of the Software. Also you have right for two (2) requests during Subscription Period to reactivate the Software if you move to another computer or modify computer hardware. On the expiration of the Subscription Period the Software will terminate operation and the license hereunder shall be terminated, you must pay the applicable license fees and continue to use the Software or remove the Software from all your computers. You are eligable for technical support and software updates for Subscription Period. 3. USE RESTRICTIONS Any breach by you, directly or indirectly, of the restrictions, specified in Sections 3.1-3.8, will result in automatic and immediate termination of this Agreement, including all your rights to use the Software, and may result in criminal, civil and other prosecution. 3.1. You may not install, activate and use the Software on a larger number of computers than permitted by purchased licenses. 3.2. You may not sell, sublicense, provide, rent, lease, lend, share or otherwise allow others to use the Software. 3.3. You must not modify, adapt, reverse engineer, decompile, disassemble or otherwise attempt to discover, alter and/or disclose to any third party the structure, organization and source code of the Software, which are the valuable trade secrets, confidential information and intellectual property of AVELife, except and only to the extent that it is expressly permitted by applicable local law, at such activity you agree to hold AVELife harmless and assume the entire risk and strict liability for any losses and damages to AVELife. 3.4. You must not create derivative works based upon the Software in whole or in part. 3.5. You may not separate the Software, licensed as a single software product, for use on several computers. 3.6. You must not distribute special versions of the Software available for you as registered user of the Software or your license keys to third parties. 3.7. You must not remove, obscure or alter copyright, trademark or any other Software identification notices. 3.8. You must comply with all applicable laws regarding use of the Software. You must not use the Software in connection with any illegal or immoral activity, especially that infringes rights of any third party. You agree to indemnify, hold harmless and defend AVELife, its employees and partners from any and all claims, demands, costs and liability resulting from your use of the Software. 4. SERVICES AND UPDATES AVELife is not obligated under this Agreement to provide any maintenance, training or support services to you. AVELife, in its sole discretion, may provide (and at any time discontinue) any free or paid support services to you 'as is' or under separate support agreement as described on AVELife support page at http://avelifesystems.com/info/support-policy.htm. As the customer of the commercial license you may receive updates, defect fixes and other modifications of the Software during Subscription Period, you may download the Software from AVELife website and reinstall it on the same computer. 5. DISCLAIMER OF WARRANTIES To the maximum extent permitted by applicable law, AVELife expressly disclaims any warranty for the Software. The Software is provided 'AS IS' with all possible defects and without any representations and warranties of any kind, either express or implied, including but not limited to any warranties of merchantability, accuracy, non-infringement of third party rights or fitness for a particular purpose. AVELife does not warrant that the Software will meet all your requirements, be error-free, function uninterrupted or that defects will be corrected. You are solely responsible for selecting, installing and using the Software, you assume the entire risk for results and performance you may obtain by using the Software. 6. LIMITATION OF LIABILITY To the maximum extent permitted by applicable law, in no event shall AVELife or its partners be liable for any incidental, indirect, special, direct or consequential damages (including, without limitation, lost profits, business interruption, loss of information or any other damages and losses) arising out of the use of or inability to use the Software, even if AVELife has been advised of the possibility of such damages. You are required to make backup copies of any valuable data stored on your computers. If the liability for some damages can not be excluded by applicable law, in any event the total liability of AVELife and its partners for such damages shall be limited to the amount actually paid by you for the Software. Warning: The software is not designed for use in connection with any strict liability or high risk activity, and AVELife specifically disclaims fitness of the Software for such purpose, you agree not to use the Software in connection with such activity. 7. TERMINATION This Agreement is effective until terminated or replaced by other license agreement when you update or upgrade the Software. You may terminate this Agreement at anytime by removing the Software from all your computers and destroying all copies of the Software in your possession and your license keys. This Agreement will terminate automatically if you fail to comply with any term or condition of this Agreement. Upon termination of this Agreement, you must immediately discontinue using the Software, remove the Software from all your computers and destroy all copies of the Software in your possession and your license keys. 8. GENERAL PROVISIONS This Agreement is the entire agreement between you and AVELife relating to the Software and it supersedes all prior oral or written agreements, proposals, advertising or any other communications, representations and undertakings with respect to the Software or any other subject matter covered by this Agreement. If any provision of this Agreement is held to be void, invalid, unenforceable or illegal, such provision shall be modified only to the extent necessary to make it valid and enforceable and the other provisions shall continue in full force and effect. You may not transfer any of the rights granted to you under this Agreement to any third party. AVELife reserves the right to prevent illegal use of the Software by any means. You shall comply with all applicable export laws, restrictions or regulations, and you shall not export or re-export the Software in violation of any such restrictions, laws or regulations. This Agreement shall not be governed by the conflict of law rules of any jurisdiction and the Uited Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded. AVELife reserves the right at any time to discontinue release of the Software, add, modify or delete any features, specifications, capabilities, functions, test format, database structure, user interface or other characteristics of the Software, provide, alter or discontinue support services and alter licensing terms, prices, release dates or general availability of any future releases of the Software.
